Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of Ecodia’s websites, applications, and services (collectively, the “Services”). By using the Services, you agree to these Terms and our policies referenced here.
If you are using the Services on behalf of a school, business, or organisation, you represent that you are authorised to bind that organisation and that “you” refers to the organisation.
Definitions
- Ecodia means the legal entity operating the Services.
- Account means your registered access credentials and profile.
- Content means projects, text, images, code, data, and other material posted or transmitted through the Services.
- Greenhouse means the collaboration and project showcase features.
Eligibility & Roles
- You must be of legal age to form a contract, or have guardian/school consent where applicable.
- For school-directed features, the school is the controller for student data; Ecodia acts as processor.
- You must comply with applicable laws and these Terms at all times.
Accounts & Security
- You are responsible for maintaining account security and for all activity under your credentials.
- Provide accurate information and keep it up-to-date.
- Notify us immediately of unauthorised use or suspected compromise.
Greenhouse Visibility & Collaboration
Content uploaded to Greenhouse should be treated as accessible within the collaboration context (collaborators, limited safety/ops, and bound service providers). The “Okay to show public” toggle controls directory listing/discoverability and is not a secrecy control. Do not share confidential or trade-secret materials without appropriate protections.
Ecodia will not exploit your Greenhouse content outside the collaboration you initiate without your explicit, informed permission (e.g., showcase opt-in).
Your Content & Licenses
You retain ownership of your Content. By posting Content, you grant Ecodia a worldwide, non-exclusive, royalty-free licence to host, store, display, and distribute the Content solely to operate the Services and the collaborations you initiate. For public showcases you opt into, you grant us the additional right to display and promote that Content with attribution until you withdraw the opt-in.
- You represent you have the rights to post the Content and that it does not violate law or third-party rights.
- You are responsible for backing up your Content.
Prohibited Conduct
- Illegal activities, harassment, hate, or incitement of violence.
- Infringing, deceptive, or fraudulent content or conduct.
- Unauthorised access, scraping, or interference with the Services.
- Uploading sensitive personal or confidential data without lawful basis and appropriate safeguards.
- Child sexual abuse material (CSAM) or exploitation (zero tolerance).
Payments & Donations
Payments and donations are processed by third-party processors (e.g., Stripe). You authorise charges to your selected payment method. Taxes may apply. Except where required by law, payments are non-refundable unless specified otherwise for a particular program or product.
Subscriptions & Trials
If subscriptions are offered, you will be billed in advance on a recurring basis. You can cancel at any time effective at the end of the current term. We may change prices with reasonable prior notice and a chance to cancel before renewal.
Intellectual Property
The Services, including software, design, and trademarks, are owned by Ecodia or its licensors and are protected by law. Except as permitted by these Terms, you may not copy, modify, or create derivative works of the Services.
Privacy & Cookies
Our Privacy Policy and Cookie Policy explain how we handle personal information and cookies. By using the Services, you agree to those policies.
AI & Experimental Features
Some features use AI and may generate imperfect outputs. You remain responsible for reviewing and using results appropriately. Where third-party models are used, they are bound by data-processing terms and must not train on student personal information.
Third-Party Services
The Services may link to or integrate with third-party services. Their terms and privacy policies govern your use of those services. Ecodia is not responsible for third-party content or services.
Warranty Disclaimer
The Services are provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Ecodia will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our aggregate liability for claims relating to the Services will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
Indemnity
You agree to defend, indemnify, and hold harmless Ecodia and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services or your Content, except to the extent caused by our breach or wilful misconduct.
Termination & Suspension
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, pose a risk, or where required by law. Upon termination, certain provisions survive (e.g., IP, disclaimers, liability limits).
Governing Law
These Terms are governed by the laws of Australia. If you operate primarily in a specific state/territory (e.g., Victoria), you may specify that as the exclusive jurisdiction for local courts.
Dispute Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us. If unresolved within 30 days, the parties may pursue permissible remedies. Nothing prevents either party from seeking urgent injunctive relief.
Changes to These Terms
We may update these Terms to reflect changes to our Services or the law. If changes are material, we will provide reasonable advance notice through the Services or by email. Continued use after the effective date constitutes acceptance.

Small Print
These Terms & Activity Guidelines are a human-readable companion to our Terms of Service and apply to all sidequests, offers, and events across Ecodia. They do not replace the Terms of Service, which prevail in the event of inconsistency. Nothing here limits rights under the Australian Consumer Law or other non-excludable laws. If any provision is invalid, the remainder remains in force.
