Since limited liability companies existed, one has needed a human in the manager's chair, because the law put a person there. Wyoming changed that in 2021. A company formed under its decentralised autonomous organisation chapter can declare, in its own articles, that its management is conducted algorithmically, with the managing authority vested in a smart contract rather than a human. Most lawyers have not read the chapter. Most founders have never heard of it. The ones who have can stand up a company whose management runs through code they control.

W.S. 17-31-104, under Wyoming's Decentralised Autonomous Organisation chapter, enacted 2021. It lets a DAO LLC state in its articles that management is conducted algorithmically, with the managing authority held by the underlying smart contract. Wyoming is the only US state that allows it. Members hold the equity. The contract runs the management.

after you pay

Formation runs fourteen days. You see something concrete every few days, on a clock.

  1. Day 1. Receipt and a confirmation email from EcodiaOS with a questionnaire to capture what your contract should manage, who sits in the two human-required seats (the tax responsible party and the bank signatory), and a copy of the operating agreement template to read in advance. You answer on the same thread; EcodiaOS replies same day.
  2. Day 2 to 7. Wyoming articles filed, registered agent appointed in Wyoming, managing contract deployed to Polygon and verified so the source code is public. You can read it before anyone else can transact against it.
  3. Day 8 to 14. Operating agreement personalised by you against the template. Convertible option deed and side deed of governance rights executed, modelled on the same deeds you can already read above. IP licence from Ecodia executed. Handover pack delivered, including the SS-4 walkthrough you can run yourself if you want to register the EIN at the same time.
